Terms of Service

1. Agreement

These Terms of Service ("Terms") form an agreement between you and Heureux IT ("we", "us"), which operates Adsbotic ("the Service"). Adsbotic is a product of Heureux IT. By creating an account, connecting a Google Ads account, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.

2. What Adsbotic does

Adsbotic is an AI-powered Google Ads management platform. It helps you plan, create, manage and improve Google Ads campaigns using AI together with review by human Google Ads experts. The Service may include campaign planning, keyword and ad creation, guidance on conversion tracking setup, campaign monitoring and optimization suggestions.

The Service is currently offered as an early access or beta release. Features may change, be added or be removed, and the Service may be unavailable from time to time.

3. Eligibility and your account

You must be at least 18 years old and able to form a binding contract. You are responsible for the accuracy of the information you provide, for keeping your account credentials secure, and for all activity that takes place under your account. Tell us promptly at hello@adsbotic.ai if you believe your account has been compromised.

4. Connecting your Google Ads account

To use the core features you connect your own Google Ads account through Google OAuth. By connecting it, you confirm that you own that account or are authorised to act on behalf of its owner, and you authorise Adsbotic to access it and to make the changes described in the Service and in our Privacy Policy.

• You remain the owner of your Google Ads account and of all data in it.
• You remain responsible to Google for that account and for complying with Google Ads policies and terms.
• You are solely responsible for all advertising spend. Adsbotic does not pay for your ads and does not control your billing with Google.
• You may revoke Adsbotic’s access at any time at https://myaccount.google.com/permissions.

Campaigns are built by AI and reviewed by a human Google Ads expert. Campaign plans and material optimization changes are presented for your approval or reviewed by an expert before they are applied, but you are responsible for reviewing what goes live in your account.

5. No guarantee of advertising results

Any estimates, forecasts or projections that Adsbotic provides — including estimated click costs, traffic or lead volumes — are estimates based on data available from Google at the time, not guarantees. Advertising results depend on many factors outside our control, including your market, competition, pricing, website, availability and how quickly you respond to enquiries.

6. Your responsibilities and acceptable use

You agree that you will not:

• Use the Service for any unlawful purpose, or to advertise products or services that are illegal in the markets you target.
• Advertise in any way that breaches Google Ads policies, including policies on prohibited content, misrepresentation and restricted categories.
• Provide false or misleading information about your business, services or claims.
• Attempt to gain unauthorised access to the Service, disrupt it, or interfere with other users.
• Reverse engineer, copy or resell the Service, or use it to build a competing product.
• Use the Service on behalf of a third party without that party’s authorisation.

You are responsible for the legality and accuracy of the business information, claims and offers you provide, and for the content of ads that run in your account.

7. Fees

During early access, the Service may be provided free of charge or at a promotional rate. We will tell you before any charges begin, and you may stop using the Service at that point. Advertising spend paid to Google is separate from any Adsbotic fee and is always billed to you directly by Google.

8. Intellectual property

The Service, including its software, models, interfaces, text and branding, belongs to Heureux IT and its licensors. These Terms do not transfer any ownership in it to you. You retain ownership of the business information you provide and of the campaigns and ad content created in your own Google Ads account, and you grant us the licence needed to operate the Service for you.

9. Third-party services

The Service depends on Google Ads and other third-party services. Your use of those services is governed by their own terms. We are not responsible for changes to, or the unavailability of, any third-party service, including changes Google makes to its APIs, policies or products.

10. Disclaimers

The Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted, error-free or that it will meet your requirements.

11. Limitation of liability

To the fullest extent permitted by law, neither Heureux IT nor its officers, employees or contractors will be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data, goodwill or advertising spend, arising out of or relating to your use of the Service.

Our total aggregate liability arising out of or relating to the Service will not exceed the greater of the amount you paid us for the Service in the three months before the event giving rise to the claim, or INR 10,000. Nothing in these Terms limits liability that cannot be limited under applicable law.

12. Indemnity

You agree to indemnify and hold harmless Heureux IT against claims, losses and costs arising from your breach of these Terms, your advertising content, your breach of Google Ads policies, or your infringement of any third-party right.

13. Suspension and termination

You may stop using the Service and close your account at any time by contacting hello@adsbotic.ai and revoking access in your Google account. We may suspend or terminate your access if you breach these Terms, if required by law, or if continuing to provide the Service would create a security or compliance risk. On termination, the provisions that by their nature should survive — including intellectual property, disclaimers, limitation of liability and governing law — will continue to apply.

14. Changes to these Terms

We may update these Terms as the Service develops. If a change is material, we will update the date at the top of this page and notify you by email or in the product before it takes effect. Continuing to use the Service after a change takes effect means you accept the updated Terms.

15. Governing law

These Terms are governed by the laws of India, and the courts of India will have exclusive jurisdiction over any dispute arising out of or relating to them, except where mandatory local law gives you the right to bring proceedings elsewhere.
